S* ALLIANCE MIRROR SITE SETUP AGREEMENT
 

AGREEMENT FOR SETTING UP OFFICIAL S* ALLIANCE MIRROR SITES CONTAINING THE FULL S* ALLIANCE COURSE MATERIALS INCLUDING THE LECTURE PACKAGE (COMPLETE SET OF LECTURE FILES WHICH INCLUDE VIDEO FILES & SLIDES - hereinafter called the "Software"). PLEASE READ THE TERMS OF THIS S* ALLIANCE MIRROR SITE SETUP AGREEMENT (called the "Agreement") CAREFULLY.

ACCEPTANCE OF FOLLOWING TERMS AND CONDITIONS

  • Mirroring the S* alliance website as a service to the community for educational or research purposes which are non-commercial only.
  • Distribution of this software for profit gaining or for any other purpose is strictly prohibited.
  • The Software has not undergone complete testing and may contain errors. It may not function properly and is subject to change at any time. No support or maintenance is provided with the Software unless so announced by the S* Alliance on an ad hoc basis.
  • Any abuse or misuse of the Software may be withdrawn from this site at any time.

1. Ownership and License

This Software is owned jointly by S* Alliance Official Members (official website at http://www.s-star.org/).

The S* Alliance Members and Secretariat retain full copyright and all rights reserved on all material and resources which are received by you from the S*Alliance websites or mirror sites or the S* Alliance secretariat or via the IVLE system or via a third party.

You MAY:

  1. use the Software to set up a full and complete and up-to-date Mirror site of the S* Alliance Website.
  2. Advertise the Mirror Site as an Official S* Alliance Mirror Site provided your Mirror Site contains up-to-date data and the latest mirror release of the S* Alliance Official Site AND your Mirror Site is officially designated by the S* Alliance Secretariat
  3. Freely give copies or distribute the Lecture Package found within the Software to others as long as the lecture package is unmodified and contains the Software Agreement, Terms and Conditions of the Lecture Package in an unmodified form.

You MAY NOT:

  1. merge, or distribute (for a profit directly or indirectly) or
  2. modify or otherwise translate the Software or
  3. disassemble the Software in whole or in part
  4. exclude any files or add any to the Software or
  5. make the Software part of any other software
  6. copy and/or distribute of the Software as a whole - only the S* Alliance Secretariat reserves the right to propagate new Mirror Sites using this Software
  7. advertise the Software as an S*Alliance Mirror Site if your site contains out-of-date, obsoleted data, and does not use the latest mirror release of the S* Alliance Official Site, or is not officially designated by the S* Alliance Secretariat.

2. Term and Termination

This agreement is effective until terminated by the S* Alliance. You may terminate this Agreement at any time by destroying all copies of Software and informing the S* Alliance Secretariat.

This agreement will terminate immediately without notice from the S* Alliance if you fail to comply with any provision of this Agreement. Upon termination, you must destroy all copies of the Software, in all forms, authorized or unauthorized. Not withstanding termination, the articles and clauses on Ownership and License, Disclaimer and Limitation of Liability shall survive this agreement.

3. Disclaimer and Limitation of Liability

The S* Alliance provides the Software and the information therein to you on an "as is" basis, without warranty of any kind.The S* Alliance will not be liable for any direct damages or for any special, incidental, or indirect damages of any kind arising out of the delivery, performance or use of this Software. The S* Alliance will not be liable for the loss of, or damage to, your records or data, or any damages claimed by you based on a third party claim.

4. Responsibility

The Software is provided to you on the basis that you take all necessary precautions and perform all necessary tasks professionally to maintain the Software as a fully operational S* Alliance Mirror Site in accordance to instructions transmitted to you from time to time by the S* Alliance Secretariat, and that you undertake to respond to these instructions within a reasonable time, and fully comply with these instructions otherwise, the right to advertise your site as an Official Mirror Site of the S* Alliance may lapse automatically.

Upon lapsing as an Official Mirror Site of the S* Alliance, you are obligated to destroy all copies of the Software and its operational form, and to cease from making reference to your site as an Official Mirror Site.

5. General

This Agreement is the only understanding and agreement between you and the S* Alliance has regarding your use of the Software. It supersedes all other communications, understandings or agreements, contemporaneous oral or written communications, proposals, representations and prevails over any conflicting or additional terms of any acknowledgment, or other communication between the parties relating to its subject matter during the term of this Agreement. No modification of this agreement will be binding, unless in writing and signed by an authorized representative of each party.
